　　约束力binding effect

　　本合同是为甲方和乙方及其各自合法的继承人和受让人的利益而签订的，对他们均有法律约束力。不可对本合同作口头修改，任何修改只要经甲方和乙方签署书面文件并经审批机关批准后方可作出。

　　本合同是可分割的，如果本合同任何条款被确定是非法的或不可强制执行的，应在不影响本合同其余条款的条件下将该等条款删除。

　　This Contract is severable in that if any provision hereof is determined to be illegal or unenforceable,the offending provision shall be stricken without affecting the remaining provisions of this Contract.

　　放弃waiver

　　本协议任何一方不行使或延迟行使本协议的任何权利、权力或特权不得视为对本协议另一方任何义务、职责或要求的放弃。

　　No failure or delay on the part of either party to this Agreement in exercising any right,power or privilege hereunder shall operate as a

　　Waiver of any obligation,duty or requirement of the other party hereto.

　　本协议任何一方放弃本协议下任何权利、权力或特权不得视为放弃该方的任何其他权利、权力或特权。

　　No waiver by any party hereto of any right,power or privilege hereunder shall operate as awaiver of any other right,power or privilege of such party hereunder.

　　任何一方单独或部分行使本协议下的任何权利、权力或特权不得妨碍以任何其他方式或进一步行使该等权利、权力或特权或本协议的任何其他权利、权力或特权。

　　The single or partial exercise of any right,power or privilege hereunder by any party shall not preclude any other or further exercise thereof or of any other right,power or privilege hereunder.
