涉外合同的种类与语言风格

　　导读：涉外合同与国内合同一样种类繁多，此外，涉外合同是一种国际间的合作协议，不同的国家各有自己不同的语言风格，但是作为国际通用的语言还是比较固定的，因此，涉外合同也具有比较固定的语言结构。

　　涉外合同的种类：⑴国际货物销售合同;⑵国际技术转让合同;⑶中外合资/合作经营企业合同;⑷国际工程承包合同;⑸补偿贸易合同;⑹中外合作开采自然资源合同;⑺涉外劳务合同;⑻国际租赁合同;⑼涉外信贷合同;⑽国际BOT(Build-Operate-Transfer)投资合同。

　　涉外合同语言结构：前言、正文和结尾

　　前言部分包括当事人的名称或者姓名、国籍、主营业务或者住所及合同签订的日期、地点。前言主要明确合同的主体是谁;合同各方是否具有合法主体资格;合同及合同争议应适用的法律;合同履行地点;合同生效、终止、履行日期及争议时的司法管辖权。

　　例1：一则补偿贸易合同的前言部分

　　This contract is made and entered into in Beijing this 18th day of March, 2001, by and between ABC corporation, a corporation duly organized and existing under the laws of the People’s Republic of China with its domicile at Shanghai (hereinafter referred to as “Party A”) and XYZ company, a company incorporated and existing under the laws of the United States with its domicile at Atlanta (hereinafter referred to as “Party B”),

　　WITNESSETH THAT:

　　WHEREAS Party B has machines and equipment for Party B’s manufacturing of auto safety belt and is willing to sell to Party A the machines and equipment;…

　　WHEREAS Party A agrees to purchase from Party B machines and equipment;…

　　NOW, THEREFORE, in consideration of the promises and covenants described hereinafter, the parties hereto agree as follows:

　　译文：，营业地点在上海的ABC公司(以下简称甲方)和按美国法律注册成立的、营业地在亚特兰大的XYZ公司(以下简称乙方)共同签订。

　　兹证明：

　　鉴于乙方现拥有用于制造汽车安全带的机器设备，并愿将机器设备卖给甲方;……

　　鉴于甲方同意从乙方购买该机器设备;……
